1. Acceptance of Terms
By downloading, installing, accessing, or using ProtoFlow ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software. ProtoFlow Inc. ("we," "us," or "our") provides this Software to you ("User") subject to these Terms.
2. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software for your personal or professional electronics design work. This license is for the object code of the Software only.
3. User Ownership of Designs
You own your work. We claim no intellectual property rights over the schematics, layouts, symbols, or other design files you create using ProtoFlow. Your engineering data remains yours.
4. AI & Engineering Responsibility
CRITICAL NOTICE REGARDING AI ASSISTANCE:
ProtoFlow utilizes Artificial Intelligence (AI) to suggest connections, generate symbols, and optimize layouts.AI can make mistakes ("hallucinations"). It may suggest incorrect pinouts, wrong component values, or invalid connections.
You acknowledge that ProtoFlow is an assistive tool, not a replacement for professional engineering judgment.You are solely responsible for verifying the accuracy, safety, and functionality of all designs created with the Software.We are not liable for any hardware failures, manufacturing defects, safety incidents, or financial losses resulting from errors in designs created with ProtoFlow. Always verify AI-generated content against official manufacturer datasheets.
5. Prohibited Conduct
You agree not to:
- Reverse engineer, decompile, or disassemble the Software.
- Use the Software to design illegal devices or weapons systems prohibited by international law.
- Attempt to bypass any security measures or access controls of the Software.
- Use the Software's AI features to generate harmful, offensive, or malicious content.
- Resell, sublicense, or redistribute the Software without our express written permission.
6. Disclaimer of Warranties
READ CAREFULLY
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROTOFLOW INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE PAST TWELVE MONTHS.
8. Updates to Terms
We may modify these Terms at any time. We will notify you of material changes through the Software or our website. Continued use of the Software after such changes constitutes acceptance of the new Terms.
9. Dispute Resolution
Binding Arbitration: Any dispute arising from these Terms or your use of the Software shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.
Class Action Waiver: You and ProtoFlow Inc. agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
